Terms of Service

Welcome to Tech'nSyntax. These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an enterprise entity, "Client", "User", or "you") and Tech'nSyntax ("Company", "we", "us", or "our"), governing your access to and use of our website (technsyntax.site), technical consulting services, web application development, data analytics pipelines, artificial intelligence integrations, and Academy education courses.

1. Acceptance of Terms

By accessing our website, contracting our services, or enrolling in our Academy programs, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must discontinue use of our site and services immediately.

2. Scope of Services

Tech'nSyntax provides technology consulting, custom software engineering, business intelligence and analytics implementation, artificial intelligence workflow automation, UI/UX interface design, and technical skills training. Every project engagement is outlined in a dedicated Statement of Work (SOW), Proposal, or Service Agreement that defines the specific scope, technical deliverables, milestones, timeline, and associated fees.

3. Intellectual Property Rights & Code Ownership

3.1 Client Deliverables

Upon full receipt of payment for services rendered under an executed agreement, the Client shall own all right, title, and interest in the custom code, design assets, and bespoke deliverables produced specifically for that project, subject to Section 3.2.

3.2 Pre-Existing Materials and Open Source

Tech'nSyntax retains all ownership rights in our pre-existing proprietary frameworks, developer utilities, scaffolding code, and generic algorithmic libraries ("Company IP"). Where open-source software libraries (e.g., standard browser standards, MIT/Apache licensed tools) are incorporated, they remain subject to their respective open-source licenses.

4. Payment Terms & Invoicing

  • Milestone Payments: Unless otherwise agreed in writing, client engagements operate on structured milestone schedules (e.g., initial deposit, design sign-off, staging review, production handoff).
  • Invoicing: Invoices are payable within fourteen (14) days of issuance via electronic bank transfer, UPI, or designated digital payment gateways.
  • Late Fees: Outstanding balances not received within thirty (30) days of the due date may accrue interest at 1.5% per month or the maximum rate permitted by applicable law.

5. Client Responsibilities & Cooperation

Successful project delivery relies upon timely collaboration. The Client agrees to:

  • Provide clear technical requirements, brand assets, credentials, and content necessary for project completion in a timely manner.
  • Designate an authorized project representative with the authority to provide approvals and feedback.
  • Review milestone deliverables within five (5) business days of submission to maintain agreed project schedules.

6. Confidentiality & Non-Disclosure

Both parties agree to treat all non-public technical specifications, database credentials, business metrics, and strategic communications shared during the engagement as strictly Confidential Information. Neither party will disclose Confidential Information to third parties without prior written consent, except as required by law.

7. Warranties and Disclaimers

Tech'nSyntax warrants that all work will be performed in a professional, workmanlike manner adhering to modern software engineering standards. Unless specified in a dedicated SLA, all web services and digital tools are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including fitness for a particular commercial purpose.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Tech'nSyntax shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, data corruption, or third-party platform API changes (such as updates to LLM providers or database hosting infrastructure). In no event shall our total aggregate liability exceed the total amount paid by the Client to Tech'nSyntax for the specific service engagement giving rise to the claim in the preceding six (6) months.

9. Academy Course Policies

Enrollment in Tech'nSyntax Academy courses grants a non-exclusive, non-transferable license to access educational materials, project repos, and mentor sessions for personal career development. Curriculum materials may not be redistributed, sold, or shared publicly without express written permission.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Pune, Maharashtra, India.
